1. Introduction

These terms of service ("Terms") govern your use of the Digital Sprout website (www.digital-sprout.co.uk) and any SEO services provided by Digital Sprout, a trading name operated by Mike Dodgson, based in Darlington, County Durham, United Kingdom.

By using this website or engaging our services, you agree to be bound by these Terms.

2. Services

Digital Sprout provides search engine optimisation (SEO) services including but not limited to:

  • Technical SEO audits and optimisation
  • Pillar page creation and optimisation
  • Blog content creation and strategy
  • Link building and backlink acquisition
  • SEO consulting and strategy

All services are provided on a monthly basis unless otherwise agreed in writing. Specific deliverables, timelines, and pricing will be outlined in a separate proposal or agreement.

3. No Guarantees

While we use proven, ethical SEO strategies and have a strong track record of delivering results, we cannot guarantee specific rankings, traffic levels, or revenue outcomes. Search engine algorithms are controlled by third parties (primarily Google) and are subject to change without notice.

4. Payment Terms

  • Invoices are issued monthly in advance unless otherwise agreed.
  • Payment is due within 14 days of invoice date.
  • All prices are quoted in GBP (£) and are exclusive of VAT where applicable.
  • Late payments may incur interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Contract Duration & Cancellation

Services are provided on a rolling monthly basis with no minimum contract term. Either party may terminate the agreement by providing 30 days' written notice. Upon cancellation:

  • Any work completed up to the cancellation date will be invoiced.
  • Access to any reports, audits, or deliverables produced during the engagement will be provided.
  • Any third-party tools or accounts set up on your behalf will be transferred to you where possible.

6. Client Responsibilities

To enable effective delivery of our services, you agree to:

  • Provide timely access to your website, CMS, and analytics platforms as required.
  • Provide accurate and complete information about your business, products, and services.
  • Review and approve content, strategies, and recommendations in a timely manner.
  • Not engage in any practices that could harm your website's standing with search engines (e.g., purchasing low-quality links).

7. Intellectual Property

All content, strategies, and deliverables created by Digital Sprout as part of our services become your property upon full payment. Digital Sprout retains the right to reference the work in portfolio and case study materials unless you object in writing.

8. Limitation of Liability

To the fullest extent permitted by law, Digital Sprout's total liability for any claim arising from the provision of services shall not exceed the total fees paid by you in the 3 months preceding the claim. Digital Sprout shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue or profits.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes business strategies, analytics data, customer information, and any other sensitive materials.

10. Website Use

When using this website, you agree not to:

  • Use the site for any unlawful purpose.
  • Attempt to gain unauthorised access to any part of the site.
  • Reproduce, duplicate, or copy any material from this website without permission.
  • Use automated systems or software to extract data from the site (scraping).

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
